01. Acceptance & Scope of Terms

02. Corporate Structure & Holding Model

Solstate LLC operates exclusively as a technology holding and intellectual property capitalization entity. Solstate LLC holds equity interests, proprietary code repositories, and governance oversight across a portfolio of wholly owned and affiliated operating subsidiaries (including, but not limited to, StayBooked, Vox AI, OmniChat, Agent Brain, LeadForge, FrontDesk, BackHouse, Email Agent, Epson Middleware, and Hik Attendance).

Each operating subsidiary operates under distinct commercial agreements, service level agreements (SLAs), and operational firewalls. Access to or licensing of specific software subsystems is governed by independent commercial enterprise agreements executed directly with the relevant operating company.

03. No Investment, Banking, or Financial Advisory Services

Solstate LLC is not a bank, broker-dealer, registered investment adviser, depository institution, or money services business (MSB). Solstate LLC does not solicit public retail capital. Any strategic equity transactions or commercial partnerships are conducted exclusively through private, bilateral negotiations in compliance with applicable federal and state statutory exemptions.

04. Intellectual Property & Proprietary Rights

All proprietary software architectures, system topologies, audio synthesis engines, telemetry monitoring pipelines, visual identities, trademarks, trade dress, and written documentation on this Site are the sole and exclusive intellectual property of Solstate LLC and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to view and reference the content for internal evaluation purposes. You may not copy, decompile, reverse engineer, systematically scrape, mirror, or create derivative works from the content without prior written authorization from Solstate LLC.

05. Acceptable Use & Security Standards

When accessing the Site or communicating through our digital endpoints, you agree not to:

07. Governing Law & Exclusive Delaware Jurisdiction

These Terms and any dispute arising out of or related to these Terms, the Site, or Solstate LLC corporate communications shall be governed by and construed in accordance with the substantive laws of the State of Delaware, United States, without giving effect to any choice of law or conflict of law principles.

You irrevocably consent and submit to the exclusive jurisdiction of the state and federal courts sitting in New Castle County, Delaware, for the resolution of any action or proceeding arising under or relating to these Terms.
